Terms of Service

1Acceptance of Terms

By entering into a Master Services Agreement (MSA), statement of work, or by accessing Appdeft AI's website and online services, you agree to be bound by these Terms of Service and all incorporated policies, including our Privacy Policy and Cookie Policy.

If you are entering into these terms on behalf of a company or legal entity, you represent that you have the authority to bind such entity to these obligations.

2Scope of AI & Development Services

Appdeft AI provides professional technology services including AI model engineering, generative AI automation, natural language processing (NLP), computer vision integration, custom chatbot development, and cloud architecture implementation.

• Service Deliverables: Deliverables, timelines, and acceptance criteria are specified in individual Statements of Work (SOW) executed between Appdeft AI and the client.
• AI System Performance: While we utilize state-of-the-art algorithms and rigorous validation processes, probabilistic AI systems are subject to statistical variation. Appdeft AI guarantees performance SLAs as explicitly defined in your client contract.

3Intellectual Property & Ownership

We respect intellectual property and define clear ownership boundaries:

• Client IP: The client retains all right, title, and interest in and to all proprietary data, pre-existing assets, and business logic provided to Appdeft AI.
• Custom Deliverables: Upon full payment of applicable fees, custom software code, fine-tuned model weights, and specific deliverables created exclusively for the client shall belong to the client.
• Appdeft Core IP: Appdeft AI retains ownership of its pre-existing tools, core reusable libraries, proprietary frameworks, and general algorithms developed prior to or outside the scope of work.

4Acceptable Use & Responsible AI

Users and clients agree not to use Appdeft AI systems or deliverables for any illegal, malicious, or unethical activities, including but not limited to:

• Attempting to reverse engineer, decompile, or extract underlying model parameters without authorization.
• Using AI models to generate deceptive, defamatory, discriminatory, or dangerous content.
• Interfering with infrastructure security, rate limits, or network access controls.

5Confidentiality & Data Protection

Each party agrees to hold in confidence all proprietary and confidential information disclosed by the other party. Appdeft AI maintains industry-standard security protocols, including SOC 2 compliant operational safeguards, encryption, and strict role-based access restrictions.

6Limitation of Liability

To the maximum extent permitted by applicable law, Appdeft AI shall not be liable for indirect, incidental, consequential, special, or punitive damages arising out of or related to your use of the platform or services. Total cumulative liability under any claim shall not exceed the amount paid by the client to Appdeft AI in the twelve (12) months preceding the incident.

7Governing Law & Updates

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any dispute arising under these Terms shall be subject to exclusive jurisdiction of the courts in Punjab, India.
